Terms of Service
& Subscription Agreement
This agreement governs the relationship between PageDrop Studio and any client who engages our web design, hosting, or ongoing maintenance services.
Who This Agreement Covers
This Terms of Service Agreement ("Agreement") is entered into between PageDrop Studio ("PageDrop," "we," "us") located in Los Angeles, California, and any individual or business entity ("Client") who engages PageDrop for web design, development, hosting, or related services.
By accepting a proposal, making a payment, or using any PageDrop service, the Client agrees to be bound by the terms set forth in this Agreement. No other agreements, verbal or written, supersede these terms unless explicitly signed by both parties.
What PageDrop Provides
PageDrop provides custom web design, development, hosting, and ongoing maintenance services for local businesses. The specific deliverables for each engagement are defined at the time of proposal and may include:
- Custom website design and development (the "Site")
- Deployment of the Site to Client's domain or a PageDrop-managed subdomain
- Monthly hosting, security monitoring, and technical maintenance
- Minor copy and content updates as part of an active monthly subscription
- Additional pages, landing pages, or features as separately quoted
Who Owns What
Client Content: The Client retains full ownership of all content they provide — including their business name, logo, photography, copy, and any materials submitted to PageDrop for use on the Site.
Website Ownership: Upon receipt of final payment for the build fee, the Client owns the live website and all its content. PageDrop remains the Technical Administrator responsible for hosting, security, and maintenance for as long as the Client maintains an active monthly subscription.
PageDrop Framework: PageDrop retains rights to its proprietary code frameworks, design systems, templates, and technical methodologies. These are licensed to the Client for use on their Site but remain the intellectual property of PageDrop Studio. Full IP transfer is completed upon payment of the Migration Fee defined in Section 07.
Fees & Billing
Build Fee: The one-time build fee is due within 5 business days of the Client's written approval of the completed site. PageDrop does not require any deposit prior to delivery of the live preview.
Monthly Subscription: Recurring monthly fees are billed on the same calendar date each month via the Client's preferred payment method. The first monthly fee is due on the same date as the build fee.
Late Payment: Invoices unpaid after 30 days will result in temporary suspension of hosting services. Accounts unpaid after 60 days may result in permanent removal of the Site. PageDrop is not liable for any business loss resulting from suspension due to non-payment.
Add-On Services: All add-on services are billed at the time of request and are non-refundable once work has commenced.
The Monthly Plans
All active clients must maintain one of the following monthly subscription plans to keep their Site live, secured, and maintained.

Your Domain, Your Responsibility
The Client is solely responsible for registering, renewing, and maintaining ownership of their domain name. PageDrop recommends clients register their domain independently through providers such as Namecheap, Google Domains, or GoDaddy.
PageDrop is not liable for any service interruption, Site downtime, or loss of online presence resulting from a domain expiration, transfer, or misconfiguration initiated outside of PageDrop's systems.
If PageDrop manages DNS settings on the Client's behalf, the Client may request a DNS summary at any time. PageDrop will transfer DNS control to the Client within 5 business days of any written request.
Moving Your Site Elsewhere
If a Client wishes to move their Site to a different hosting provider, a one-time Migration Fee of $250 applies. This fee covers:
- Full codebase export and file transfer to the new host
- Database export and configuration documentation
- DNS transfer instructions and a 7-day post-migration support window
- Complete IP transfer — Client receives full ownership of all code upon completion
Migration requests must be submitted in writing to hello@getpagedrop.com. PageDrop will complete all migrations within 10 business days of receiving payment. Monthly subscription is terminated upon successful migration with no further billing.
Ending the Subscription
Client-Initiated Cancellation: Clients may cancel their monthly subscription at any time with 30 days written notice sent to hello@getpagedrop.com. The Site remains live during the 30-day notice period. No refunds are issued for partial billing periods.
After Cancellation: Upon expiration of the 30-day notice period, the Site will be taken offline unless the Client has initiated a migration (Section 07) or made alternative arrangements. PageDrop will retain a backup of the Site for 60 days post-cancellation, after which all data is permanently deleted.
PageDrop-Initiated Termination: PageDrop reserves the right to terminate service immediately and without refund in cases of non-payment beyond 60 days, violation of acceptable use policies, or fraudulent activity.
Client Responsibilities
The Client is solely responsible for the accuracy, legality, and appropriateness of all content published on their Site. This includes but is not limited to:
- Business information (name, address, phone, hours)
- Licensing and certification claims
- Pricing, service descriptions, and promotional offers
- Photography and any third-party media
- Testimonials and reviews displayed on the Site
PageDrop prohibits use of its hosting infrastructure for any unlawful, deceptive, or harmful purposes. PageDrop reserves the right to remove any content that violates applicable law or poses a reputational risk, with immediate notice to the Client.
Performance Disclaimer
PageDrop builds Sites designed to perform well in search engines and convert visitors into leads based on established best practices. However, PageDrop does not guarantee specific Google rankings, search position, lead volume, call volume, or revenue outcomes for any Client.
Search engine algorithms are controlled by third parties (Google, Bing, etc.) and are subject to change without notice. PageDrop's SEO services are performed in good faith but cannot guarantee placement in any specific search result position.
The 99.9% Commitment
PageDrop targets a 99.9% uptime rate for all hosted Sites. This equates to less than 9 hours of unplanned downtime per year. Scheduled maintenance windows, which are announced at least 24 hours in advance, are excluded from uptime calculations.
In the event of unplanned downtime exceeding 4 consecutive hours, PageDrop will issue a prorated credit toward the Client's next monthly invoice. Credits are the Client's sole remedy for downtime and are not available for outages caused by third-party infrastructure providers, domain issues, or force majeure events.
The Liability Cap
To the maximum extent permitted by applicable law, PageDrop's total liability to the Client for any claim arising out of or related to this Agreement — whether in contract, tort, or otherwise — shall not exceed the total fees paid by the Client to PageDrop in the three (3) months preceding the claim.
PageDrop shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of business, loss of data, or loss of customers, even if PageDrop has been advised of the possibility of such damages.
How We Resolve Disagreements
This Agreement is governed by the laws of the State of California, without regard to its conflict of law provisions.
Dispute Resolution: In the event of any dispute, claim, or controversy arising out of this Agreement, the parties agree to first attempt resolution through good-faith negotiation. If negotiation fails within 30 days, disputes shall be resolved through binding arbitration administered in Los Angeles County, California, under the rules of the American Arbitration Association.
Both parties waive any right to a jury trial and agree that arbitration proceedings are confidential.
When Terms Change
PageDrop reserves the right to modify these Terms of Service at any time. Clients will be notified of material changes via email at least 30 days before changes take effect. Continued use of PageDrop services after the effective date constitutes acceptance of the updated terms.
If a Client disagrees with any modification, they may terminate their subscription in accordance with Section 08 without penalty, provided notice is given before the effective date of the change.
